1. Agreement to Terms
By accessing or using Checkmate's COI validation platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.
2. Description of Service
Checkmate provides a cloud-based platform for certificate of insurance (COI) management, validation, and compliance tracking for construction companies and their vendors. Our Service includes:
- Automated COI document parsing and data extraction
- Compliance validation against customizable requirements
- Vendor self-service portal for document submission
- Expiration tracking and automated notifications
- Compliance reporting and analytics
3. User Accounts
When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party and to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
4. Acceptable Use
You agree not to use the Service:
- In any way that violates any applicable federal, state, local, or international law
- To upload false, misleading, or fraudulent insurance documents
- To impersonate or attempt to impersonate another user or person
- To engage in any conduct that restricts or inhibits anyone's use of the Service
- To attempt to gain unauthorized access to any portion of the Service
5. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Checkmate and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without our prior written consent.
You retain ownership of any documents you upload to the Service. By uploading documents, you grant us a limited license to process, analyze, and store those documents solely for the purpose of providing the Service.
6. Data Processing & AI
Our Service uses artificial intelligence and machine learning technologies to extract and validate information from insurance documents. While we strive for accuracy, the automated analysis should not be considered a substitute for professional legal or insurance advice.
You acknowledge that AI-based extraction may occasionally produce errors and agree to verify critical compliance determinations independently. Checkmate is not an insurance broker, agent, or legal advisor.
7. Subscription & Billing
Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring monthly or annual basis depending on your selected plan. Your subscription will automatically renew unless canceled before the renewal date.
We reserve the right to modify our pricing with 30 days notice. Continued use of the Service after price changes constitutes acceptance of the new pricing.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. CHECKMATE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
WE DO NOT GUARANTEE THE ACCURACY OF AI-EXTRACTED DATA OR COMPLIANCE DETERMINATIONS. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING INSURANCE COVERAGE AND COMPLIANCE WITH YOUR REQUIREMENTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHECKMATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO CHECKMATE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Termination
We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.
You may request export of your data within 30 days of termination. After 30 days, we reserve the right to delete all data associated with your account.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
